1. Acceptance of terms
These Terms of Service ("Terms") govern your access to and use of Intellicue Affair ("the Service", "we", "us", or "our"), a product of the Intellicue brand, owned and operated by Xoft Technologies Pvt Ltd, a company incorporated in India. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of the Service
Intellicue Affair is a creator workspace that lets you sell digital products and booking or consultation services through public product pages, run Instagram and YouTube comment automations, and manage contacts, orders, payouts, and plan subscriptions from a dashboard. We may add, modify, or remove features over time.
3. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate and complete information when creating your account and to keep it up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
4. Acceptable use
You agree not to misuse the Service. In particular, you must not use the Service to send spam or engage in abusive, deceptive, or unlawful activity. When using automations, you must comply with the policies of the platforms you connect, including Instagram and YouTube platform policies. You are solely responsible for the content of the messages, comments, and replies your automations send.
5. Third-party services
The Service integrates with third-party services, including Instagram/Meta, YouTube/Google, Razorpay, and Cal.com. Your use of those services is subject to their respective terms and policies, and you are responsible for complying with them. Automations post and act on your behalf, and you are responsible for the resulting content and activity. We are not responsible for third-party services, and their availability may change or be discontinued.
6. Subscriptions, billing, and refunds
Paid plans and transactions are processed through Razorpay. By subscribing to a plan or making a purchase, you authorize the applicable charges. Fees are billed for the plan and period you select. Refunds, where offered, are handled in accordance with our refund policy and applicable law. It is your responsibility to manage your subscription, including cancellation.
7. Intellectual property
The Service, including its software, design, and content provided by us, is owned by Xoft Technologies Pvt Ltd and protected by applicable laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You retain ownership of the content you create and upload, and you grant us the rights necessary to operate the Service on your behalf.
8. Disclaimers
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
9. Limitation of liability
To the maximum extent permitted by law, Xoft Technologies Pvt Ltd will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid to us for the Service in the twelve months preceding the claim.
10. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe your use poses a risk to the Service or others. Upon termination, your right to use the Service ends, though certain provisions of these Terms will survive by their nature.
11. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
12. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-laws principles. You agree that the courts located in India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
